1. Acceptance of Terms
By accessing or using the CoreAxis ePOS platform — including the web application at coreaxis.cloud, the Windows desktop application, the Android mobile application, the Local Server software, and any associated APIs (collectively, the "Service") — you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.
The Service is provided by CoreAxis Software Development & Solutions, a sole proprietorship based in Samastipur, Bihar, India (referred to as "we", "us", or "CoreAxis").
2. Eligibility
- You must be at least 18 years of age to create an account and use the Service.
- If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
- The Service is intended for businesses operating in India. Availability in other jurisdictions is not guaranteed.
3. Account Registration
- To access the Service, you must register an account with a valid email address, phone number, and an OTP-verified login.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must notify us immediately at info@coreaxis.cloud if you suspect unauthorised use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for more than 12 months.
4. Subscription Plans & Billing
- The Service is offered on a subscription basis — monthly or annual — as described on our Pricing page.
- All prices are listed in Indian Rupees (₹) and are inclusive of applicable GST unless stated otherwise.
- Subscriptions are billed in advance and auto-renew at the end of each billing cycle unless cancelled before the renewal date.
- We may revise pricing from time to time. Existing subscribers will be notified at least 15 days before any price change takes effect on their next renewal.
- No prorated refunds are provided for the remaining period of a cancelled subscription. See our Refund Policy for details.
5. Permitted Use
You may use the Service solely for lawful business purposes — managing point-of-sale, inventory, accounting, CRM, HR, and related operations for your business. You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the Service or its desktop/mobile clients.
- Resell, sublicense, or redistribute access to the Service without written consent from CoreAxis.
- Use the Service to store, transmit, or process any content that is illegal, defamatory, obscene, or infringes the intellectual property of any third party.
- Attempt to gain unauthorised access to other users' accounts, our servers, or any connected systems.
- Introduce viruses, malware, or any harmful code into the Service.
- Overload the Service with automated requests (scraping, bot traffic) beyond normal business use.
6. Data Ownership & Licence
- Your data is yours. All business data you enter — invoices, products, customer records, financial entries — remains your property.
- You grant CoreAxis a limited, non-exclusive licence to host, process, and display your data solely to provide the Service to you.
- Upon account termination, you may request an export of your data. We will provide it in a standard format (CSV/JSON) within 30 days of the request.
- We may anonymise and aggregate usage data (never personally identifiable) to improve the Service.
7. Intellectual Property
The Service, its design, logos, UI, code, and documentation are the intellectual property of CoreAxis Software Development & Solutions. These Terms do not transfer any ownership rights to you. The CoreAxis name and logo are trademarks of CoreAxis and may not be used without prior written permission.
8. Offline Mode & Local Server
- The Local Server and offline features allow billing without an active internet connection. Transactions made offline are queued and synced to the cloud automatically once connectivity is restored.
- CoreAxis is not responsible for data loss caused by local hardware failures, power outages, or corruption of the local database if the user has not maintained backups.
- The Local Server is licensed per installation and must not be shared across unrelated businesses.
9. Third-Party Services
The Service integrates with third-party platforms including, but not limited to:
- Government IRP/NIC for e-Invoicing and e-Way Bills
- Payment gateways for online payments
- WhatsApp Business API for customer notifications
- SMS providers for OTP and alerts
CoreAxis does not control these third-party services and is not liable for their availability, accuracy, or compliance. Your use of such services is governed by their respective terms.
10. Limitation of Liability
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- CoreAxis shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of revenue, data, or business.
- Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the event giving rise to the claim.
- We do not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance windows will be communicated in advance where possible.
11. Indemnification
You agree to indemnify, defend, and hold harmless CoreAxis, its officers, and employees from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your access if you breach these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users.
- Upon termination, your right to access the Service ceases. Data retention follows our Privacy Policy.
13. Governing Law & Disputes
- These Terms are governed by and construed in accordance with the laws of India.
- Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Samastipur, Bihar, India.
- Before filing a formal complaint, we encourage you to contact us at info@coreaxis.cloud so we can attempt to resolve the matter amicably.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
